YOSOMIMO VISUAL COMMERCE PRIVATE LIMITED (hereinafter “YOSO/Company”) offers an AI-led fashion marketplace that combines the convenience of e-commerce with the experience of a physical store. Features include personal styling sessions with celebrity stylists, curated shoppable looks by top designers, and a loyalty rewards program.

4. User Registration

To access features of the Website or mobile application, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We shall not be liable for any loss, damage, or unauthorized access resulting from your failure to safeguard your credentials, misuse, negligence, or fraudulent activity associated with your account at any stage.

You agree not to use the Website or mobile application for any unlawful purpose or in a way that may impair the performance, corrupt the content, or otherwise reduce the overall functionality of the Website or the mobile application.

6. Intellectual Property

10. Severability

If any provision of the Agreement is held by a court of competent jurisdiction or arbitral tribunal to be unenforceable under applicable law, then such provision shall be excluded from this Agreement and the remainder of the Agreement shall be interpreted as if such provision were so excluded and shall be enforceable in accordance with its terms; provided however that, in such event, the Agreement shall be interpreted so as to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction or arbitral tribunal.

11. Waiver

No provision of this Agreement shall be deemed to be waived and no breach excused, unless such waiver or consent shall be in writing and signed by Yoso. Any consent by Yoso to, or a waiver by Yoso of any breach by you, whether expressed or implied, shall not constitute consent to, waiver of, or excuse for any other different or subsequent breach.

12. Dispute resolution

Any disputes arising out of or in connection with this agreement shall be resolved through amicable negotiation. If such negotiation fails, the parties agree to submit to arbitration in Delhi, conducted in English in accordance with the rules of Emerging Businesses Chamber of Commerce (“EBCC”) by a Sole Arbitrator nominated by the President of EBCC. The place of arbitration shall be at Delhi, India. The language of arbitration shall be English. The award of the arbitrator shall be final, conclusive and binding upon the Parties. The rights and obligations of the Parties under, or pursuant to, this Clause, including the arbitration agreement in this Clause, shall be under the exclusive jurisdiction of the Courts at Delhi, India.

13. Termination

Yoso reserves the right to suspend, restrict, or terminate a User’s access to the Website, Mobile Application, and related services (collectively, the “Platform”), with or without prior notice, and to take any other legal or remedial action as deemed necessary, in the following cases:

• • The User breaches any terms and conditions of these Terms of Use or any other applicable policies;
  • A third party reports a violation of its rights as a result of the User’s use of the Platform;
  • YOSO is unable to verify or authenticate any information provided by the User;
  • YOSO has reasonable grounds to suspect that the User has engaged in illegal, fraudulent, or abusive activity; or
  • YOSO, in its sole discretion, believes that the User’s actions may cause legal liability to the User, other Users, or YOSO, or are otherwise contrary to the interests of the Platform.

Once a User’s access is suspended, indefinitely restricted, or terminated, the User shall not be permitted to continue using the Platform under the same account, a different account, or by re-registering under a new account. Upon termination, the User will lose access to any data, messages, files, or other content stored on the Platform. It is the User’s responsibility to maintain appropriate backups of any information they wish to retain. Termination of access shall not absolve the User from any obligations, liabilities, or claims that may have arisen prior to such termination. YOSO reserves the right to pursue legal action against Users found in violation of these Terms.

14. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or the use of the Website will be subject to the exclusive jurisdiction of the courts in Delhi, India.

However, we do not warrant or make any representations regarding the quality, accuracy, reliability, or completeness of any data, information, products, or services available on the Platform. You acknowledge that the content on the Platform is provided on an “as-is” and “as-available” basis without any warranties, express or implied.
2. Limitation of Liability In no event shall Yoso be liable for any direct, indirect, punitive, incidental, special, or consequential damages, or any other losses arising out of:
